1. Services Overview

Profit Revive provides digital marketing services for trade businesses, including but not limited to:

• Website design and development
• Search engine optimization (SEO)
• Paid advertising management (Google Ads, Meta Ads)
• CRM and automation setup
• Social media management
• Content creation and media production
• Branding and design services

Specific services, deliverables, and pricing are outlined in individual client agreements.

2. Client Eligibility

Our services are designed for established trade businesses. By engaging our services, you represent that:

• You are at least 18 years of age
• You have the authority to enter into binding agreements on behalf of your business
• Your business operates legally in your jurisdiction
• The information you provide is accurate and complete

Website & Systems Requirement

Important: To become a Profit Revive client, we must build your website and create your marketing systems. We do not work with existing websites or third-party systems. Our process, methodology, and results depend on implementing our proven systems from the ground up. This is non-negotiable and is fundamental to how we deliver results for our clients.

3. Payment Terms

Setup Fees

Setup fees are due in full before work begins. Setup fees are non-refundable once work has commenced, as they cover labor, resources, and third-party costs.

Monthly Fees

Monthly fees are billed on the same date each month and are due upon receipt. We accept credit cards and ACH payments. Late payments may result in service suspension.

Ongoing Services

Additional services such as social media management, blog writing, content creation, and other recurring services are billed monthly at the agreed-upon rate. These services:

• Are separate from your core package monthly fee
• Require 30 days notice to cancel or modify
• Are non-refundable for the current billing period
• May be adjusted with 30 days written notice for rate changes

Advertising Costs

If you engage our paid advertising services, you are responsible for ad spend paid directly to advertising platforms (Google, Meta, etc.), plus our management fees as outlined in your agreement.

4. Service Agreement & Cancellation

We operate on a month-to-month basis with no long-term contracts required for ongoing services. You may cancel at any time with 30 days written notice.

• Setup fees are non-refundable
• Monthly fees are non-refundable for the current billing period
• Upon cancellation, all client-owned assets will be transferred to the client

5. Intellectual Property

Client Ownership

Upon full payment, you own all custom work product created specifically for your business, including:

• Website designs and code
• Custom graphics and branding materials
• Written content created for your business
• Photos and videos produced for your business

Profit Revive Ownership

We retain ownership of:

• Pre-existing templates, frameworks, and tools
• Proprietary systems and processes
• General knowledge and methodologies

Portfolio Rights

We reserve the right to showcase work completed for clients in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.

6. Client Responsibilities

To ensure successful delivery of our services, you agree to:

• Provide accurate and timely information, content, and feedback
• Grant necessary access to accounts, platforms, and systems
• Respond to communications within a reasonable timeframe
• Make payments on time according to agreed terms
• Comply with all applicable laws and regulations

We offer a 90-Day Results Guarantee for qualifying clients: if you do not see measurable improvement in qualified leads within 90 days of launch, we will continue working at no additional charge until you do. This guarantee is subject to:

• Client following our recommended strategy
• Client providing timely feedback and approvals
• Client maintaining active services for the full 90-day period
• Factors within our control (not external market conditions)

9. Limitation of Liability

To the maximum extent permitted by law:

• Profit Revive's total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for lost profits, lost data, or business interruption
• We are not liable for actions of third-party platforms (Google, Meta, hosting providers, etc.)

10. Indemnification

You agree to indemnify and hold harmless Profit Revive, its owners, employees, and contractors from any claims, damages, or expenses arising from:

• Your breach of these Terms
• Your violation of any law or third-party rights
• Content you provide that infringes on intellectual property rights
• Your business operations and customer interactions

11. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, pricing, customer data, and trade secrets. This obligation survives termination of services.

12. Website Use

When using our website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the site
• Scrape, copy, or reproduce our content without permission
• Submit false or misleading information

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

1. Informal Resolution: We will first attempt to resolve disputes through good-faith negotiation
2. Mediation: If informal resolution fails, disputes will be submitted to mediation
3. Arbitration: Unresolved disputes will be settled by binding arbitration in accordance with the rules of the American Arbitration Association

These Terms shall be governed by the laws of the State of Wyoming.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any client agreement and our Privacy Policy, constitute the entire agreement between you and Profit Revive regarding the subject matter herein.
